External General Counsel LLC was launched in 2019 and offers in-house legal and business consulting, with a focus on smaller, high-growth companies. Clients often gain tremendous value in being able to list an experienced, Harvard-Law educated General Counsel or its equivalent (Secretary of the Board, Head of Growth, Chief Compliance Officer, etc.) to put regulators and potential investors at ease, but most importantly, to have an in-house attorney on call as needs arise -- a 5-minute conversation can save a company six-figures or much more in costs down the road.

 

Flexible Assistance. Most companies do not need full-time legal assistance and are being overcharged by outside law firms, whose hourly rates are inflated by excessive overhead. An experienced fractional General Counsel can provide the highest-quality in-house advice at a fraction of the cost: EGC has responsible rates afforded by low/no overhead and provides assistance on an as-needed basis - whether hourly, weekly, monthly, or full-time for a short-term engagement (typically under six months). Short-term engagements are particularly beneficial for discrete projects, such as:

  • Clearing Contract Backlogs. 

  • Utilizing Best Practices to Draft:

  1. External-Facing Agreements (Clients, Vendors, Partners, etc.).

What We Do

Everything a General Counsel can do, including:

Executive/Legal Leadership

  • negotiate mergers and acquisitions; assist with restructuring of organizations for tax, regulatory, and compliance reasons

  • manage all labor/employment issues, from statutory requirements to IP agreements to performance reviews to severance

  • resolve or litigate disputes with users, participants, and contractors; provide crisis management, including public statements

  • interview, hire, and manage outside counsel and legal budgets; coordinate with insurance counsel; oversee investigations​
     

Commercial Contracting

  • clear contract backlogs and oversee contract negotiation, both vendor and client-facing, for any and all agreements:

    • regulatory, administrative, technology, MSAs, purchase, operating, participant, partnership, licensing, NDA, leases, etc.​

  • revise employee handbooks, T&Cs, privacy policies, and compliance or risk management manuals to minimize litigation risk 

  • expedite processes by generating standardized provisions and agreements; draft trainings for sales/business teams 

 

Regulatory/Compliance

  • represent companies in all interactions with regulators; draft and review regulatory disclosures and filings

  • present to and engage with regulators in seeking licensing approvals or to ensure compliance with new laws

  • oversee global regulatory compliance, including AML/sanctions; manage data privacy, including CCPA, HIPAA, and GDPR

  • defend against threats; meet with state and federal officials to preempt investigations, enforcement, or criminal charges
